Description:
Hire Resolve's Client is currently looking for an experienced Legal Manager to join their mining company based in North-West. You will be responsible for providing strategic legal leadership, ensuring regulatory compliance, protecting mineral and corporate interests, and managing legal, contractual, litigation and stakeholder risks within a mining environment.
Responsibilities:
- Provide functional leadership and direction for the legal function.
- Manage and oversee mining rights, prospecting rights and permits in accordance with the MPRDA.
- Manage DMRE submissions, including Section 11, Section 102, renewals and Mining Work Programme requirements.
- Ensure compliance with the MPRDA, MHSA, NEMA, NWA, Mining Charter and B-BBEE Act.
- Manage Environmental Authorisations, Water Use Licences, Waste Licences and Air Emissions Licences.
- Monitor and advise on changes in mining legislation, Mining Charter requirements, carbon tax and royalty legislation.
- Draft, review and negotiate commercial agreements, including mining contractor, off-take, sale, transport, logistics, equipment hire, diesel supply, power, JV and shareholder agreements.
- Draft and manage Service Level Agreements.
- Manage procurement contracts and ensure appropriate governance and anti-corruption compliance.
- Manage legal aspects of Social and Labour Plan requirements, including community development, local employment and procurement.
- Handle land claims, surface rights disputes, resettlement matters and access-related issues.
- Advise on royalty and community trust structures and community shareholding compliance.
- Manage litigation, arbitration, labour disputes and regulatory appeals.
- Instruct and manage external attorneys, counsel and advocates, including legal strategy and cost control.
- Manage Section 54 and Section 93 MHSA appeals, DMRE directives and NEMA Section 28 directives.
- Manage legal risks relating to investigative reporting, media and community unrest.
- Act as Company Secretary and ensure compliance with the Companies Act.
- Maintain statutory records, board resolutions, minutes and CIPC filings.
- Manage compliance relating to POPIA, FICA and PAIA.
- Provide legal advice to the Board, EXCO and relevant stakeholders.
- Advise on employment law, contractor versus employee risks and union negotiations.
- Manage legal processes relating to disciplinary matters, retrenchments and industrial action.
- Manage stakeholder and community-related legal risks within the mining operation.
Requirements:
- LLB Degree
- Admitted Attorney of the High Court of South Africa
- Membership of the Law Society of South Africa / Legal Practice Council
- Minimum 10 years' experience within the mining industry (Chrome/PGM REQUIRED)
- Experience with MPRDA applications and DMRE engagement.
- Experience drafting and negotiating mineral or chrome ore off-take agreements.
- Experience with SLP and Mining Charter compliance.
- Expert knowledge of the MPRDA, MHSA, NEMA, NWA and Mining Charter
- Valid Driver's License
